Welcome to CollegeSeats. These Terms of Service ("Terms") govern your use of the CollegeSeats website, mobile application, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Acceptance of Terms

By creating an account, making a purchase, or otherwise using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old to use our Service. By using CollegeSeats, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are under 18, you may only use the Service with the involvement and consent of a parent or legal guardian.

3. Account Registration

To access certain features of our Service, you may need to create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, outdated, or incomplete.

4. Ticket Purchases

CollegeSeats operates as a marketplace connecting ticket buyers and sellers. When you purchase tickets through our Service:

  • All sales are final unless the event is cancelled
  • Prices are set by sellers and may be above or below face value
  • You agree to pay the total amount shown at checkout, including any applicable fees
  • Tickets will be delivered electronically to the email address associated with your account
  • You are responsible for verifying event details (date, time, venue) before purchase

5. Ticket Guarantee

We guarantee that all tickets sold through CollegeSeats are authentic and will be valid for entry to the event. Our guarantee includes:

  • Tickets will be delivered in time for the event
  • Tickets will be valid for the seats described in the listing
  • If tickets do not meet these criteria, we will provide comparable replacement tickets or a full refund

6. Refund and Cancellation Policy

Due to the nature of event tickets, our refund policy is as follows:

  • Event Cancellation: If an event is cancelled and not rescheduled, you will receive a full refund including all fees
  • Event Postponement: If an event is postponed, your tickets will be valid for the rescheduled date. If you cannot attend the new date, please contact our support team
  • Buyer's Remorse: We do not offer refunds for buyer's remorse, change of plans, or inability to attend
  • Invalid Tickets: If your tickets are invalid and we cannot provide replacement tickets, you will receive a full refund

7. Prohibited Conduct

When using our Service, you agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Use the Service for any fraudulent or illegal purpose
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems or software to extract data from the Service
  • Resell tickets purchased through CollegeSeats on other platforms in violation of venue policies
  • Create multiple accounts to circumvent restrictions or bans

8. Intellectual Property

The Service and its original content, features, and functionality are owned by CollegeSeats and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

9. Third-Party Links and Services

Our Service may contain links to third-party websites or services that are not owned or controlled by CollegeSeats. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that CollegeSeats shall not be liable for any damage or loss caused by your use of any such websites or services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, COLLEGESEATS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLEGESEATS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to CollegeSeats in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless CollegeSeats and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of another.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our Service prior to the changes becoming effective. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Delaware.

15. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
